Welcome to REPLLY! These Terms of Service ("Terms") govern your use of REPLLY's AI-powered social media management platform. By using REPLLY, you agree to these Terms.

1. Agreement to Terms

By accessing or using REPLLY, you agree to be bound by these Terms and our Privacy Policy. If you don't agree, please don't use our service.

2. Eligibility

You must be at least 13 years old to use REPLLY. If you're under 18, you must have permission from a parent or legal guardian. By using REPLLY, you confirm that you meet these requirements.

3. Account Requirements

To use REPLLY, you must:

  • Provide accurate and complete information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access
  • Be responsible for all activity under your account
  • Not share your account with others

4. Service Description

REPLLY provides:

  • AI Content Generation: Create captions, posts, and content ideas using AI
  • Social Media Scheduling: Schedule and publish posts to Facebook and Instagram
  • Multi-Account Management: Manage multiple social media accounts
  • Analytics: Track performance of your posts

We're constantly improving REPLLY. Features may change, and we may add or remove functionality with or without notice.

5. Acceptable Use

You agree NOT to use REPLLY to:

  • Post illegal, harmful, or offensive content
  • Spam, harass, or abuse others
  • Violate any social media platform's terms of service
  • Infringe on intellectual property rights
  • Spread misinformation or engage in deceptive practices
  • Use automated means to abuse the service
  • Attempt to gain unauthorized access to our systems
  • Resell or redistribute REPLLY without permission

We reserve the right to remove content and suspend accounts that violate these terms.

6. Content and Intellectual Property

Your Content

  • You own all content you create and upload to REPLLY
  • You own all AI-generated content created through REPLLY
  • You're responsible for ensuring you have rights to any content you upload

License to REPLLY

By using REPLLY, you grant us a limited license to use, store, and process your content solely to provide our services (including using AI to generate captions and schedule posts). We won't use your content for any other purpose without your permission.

REPLLY's Property

REPLLY's platform, features, design, and code are owned by us and protected by intellectual property laws. You can't copy, modify, or reverse-engineer our service.

7. Payment and Subscription Terms

Billing

  • REPLLY operates on a subscription basis
  • Payments are processed securely through Stripe
  • You authorize us to charge your payment method for your chosen plan
  • Subscriptions auto-renew unless you cancel

Cancellation and Refunds

  • You can cancel your subscription anytime from your account settings
  • Cancellation takes effect at the end of your current billing period
  • We don't offer refunds for partial months or unused time
  • After cancellation, you'll retain access until the end of your paid period

Price Changes

We may change our pricing with 30 days' notice. Price changes won't affect your current billing cycle, only future renewals.

8. Third-Party Services

REPLLY integrates with third-party services like Facebook, Instagram, and OpenAI. Your use of these platforms through REPLLY is also subject to their terms of service. We're not responsible for:

  • Changes to third-party APIs or policies
  • Service interruptions from third-party platforms
  • Actions taken by these platforms (like content removal or account suspension)

9. Disclaimers and Limitations

Service "As Is"

REPLLY is provided "as is" without warranties of any kind. We don't guarantee that the service will be uninterrupted, error-free, or meet all your requirements.

AI-Generated Content

AI-generated content is provided as suggestions. You're responsible for reviewing and approving all content before publishing. We're not liable for AI-generated content that may be inaccurate, inappropriate, or problematic.

Limitation of Liability

To the maximum extent permitted by law, REPLLY and its team are not liable for any indirect, incidental, special, or consequential damages arising from your use of the service. Our total liability is limited to the amount you paid us in the last 12 months.

10. Termination

By You

You can stop using REPLLY and delete your account at any time. See our Privacy Policy for data deletion instructions.

By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Use the service in harmful or illegal ways
  • Fail to pay for your subscription
  • Create risk or legal exposure for us

We'll try to provide notice before termination, but we reserve the right to terminate immediately for serious violations.

11. Changes to Terms

We may update these Terms from time to time. We'll notify you of material changes by email or through the service. Your continued use of REPLLY after changes means you accept the updated Terms.

12. General

Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and REPLLY.

Governing Law

These Terms are governed by the laws of the United States. Any disputes will be resolved in the appropriate courts.

Severability

If any part of these Terms is found to be invalid, the rest remains in effect.
